Agreement to Terms

Welcome to Books4u ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Books4u accounting and financial management platform, including our website, software applications, and services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Definitions

"Account" means your registered user account on the Service
"Content" means text, data, files, information, or materials uploaded or transmitted through the Service
"Customer Data" means all data, including financial records, that you provide or upload to the Service
"Subscription" means your paid access to the Service based on your selected plan
"User" or "you" means the individual or entity using the Service
"Organization" means the business entity on whose behalf you use the Service

2. Eligibility and Account Registration

2.1 Eligibility

To use Books4u, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Not be prohibited from using the Service under applicable laws
Represent a legitimate business or organization (for business accounts)

2.2 Account Registration

When creating an account, you must:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Keep your login credentials confidential
Be responsible for all activities under your account
Notify us immediately of any unauthorized access

2.3 Account Types

Individual Account: For sole proprietors and freelancers
Business Account: For companies and organizations
Multi-User Account: For teams with role-based access
Enterprise Account: For large organizations with custom requirements

2.4 Account Security

You are responsible for:

Maintaining the security of your password
All activities that occur under your account
Not sharing your account credentials with others
Using strong passwords and enabling two-factor authentication

We reserve the right to suspend or terminate accounts that we believe have been compromised.

3. Subscription Plans and Payments

3.1 Subscription Plans

Books4u offers various subscription tiers:

Free Trial: 30-day trial with full features
Starter Plan: Basic accounting features
Professional Plan: Advanced features and integrations
Business Plan: Full feature set with priority support
Enterprise Plan: Custom pricing and dedicated support

3.2 Pricing and Fees

Subscription fees are charged in advance on a monthly or annual basis
Prices are listed on our website and subject to change with 30 days' notice
All fees are exclusive of applicable taxes, which you are responsible for
Additional fees may apply for premium features or usage overages

3.3 Payment Terms

Payment is due upon subscription or renewal
Accepted payment methods: Credit card, debit card, bank transfer, mobile money
Failed payments may result in service suspension
You authorize us to charge your payment method automatically for recurring subscriptions

3.4 Billing Cycles

Monthly subscriptions renew on the same day each month
Annual subscriptions renew yearly on the anniversary date
You will receive invoice notifications 7 days before renewal
Billing disputes must be raised within 30 days of charge

3.5 Refund Policy

Free Trial: Cancel anytime during trial with no charge
Monthly Subscriptions: No refunds for partial months
Annual Subscriptions: Pro-rated refund available within first 30 days
Service Issues: Refunds considered on a case-by-case basis
Refund Process: Contact support@books4u.pro within applicable period

3.6 Price Changes

We may change subscription prices with 30 days' advance notice
Price changes do not affect your current billing cycle
Continuing to use the Service after notice constitutes acceptance
You may cancel before price change takes effect to avoid new pricing

Custom reports and dashboards

Additional Features:

Inventory management
Payroll processing
Time tracking

Multi-entity support
Third-party integrations

4.2 Service Availability

We strive for 99.9% uptime (excluding scheduled maintenance)
Scheduled maintenance will be announced in advance
Emergency maintenance may occur without notice
Service Level Agreement (SLA) details available for Enterprise plans

4.3 Usage Limits

Depending on your plan, limits may apply to:

Number of transactions per month
Number of users
Storage capacity
API calls
Report generation
Integration connections

Exceeding limits may require plan upgrade or incur additional fees.

4.4 Acceptable Use

You agree to use the Service only for lawful purposes. You will not:

Violate any laws or regulations
Infringe on intellectual property rights
Upload malicious code or viruses
Attempt to gain unauthorized access
Use the Service to harm others
Engage in fraudulent activities
Share your account with unauthorized users
Resell or redistribute the Service
Use the Service for competitors' benefit
Scrape or harvest data through automated means

5. Third-Party Integrations

5.1 Available Integrations

Books4u supports integration with third-party services including:

Facebook: For marketing campaign management and social media posting
Banking: For transaction imports and reconciliation
Payment Processors: For online payment acceptance
E-commerce: For sales data synchronization
Other Accounting Software: For data migration

5.2 Facebook Integration

When connecting Facebook:

You authorize Books4u to access your Facebook data per our Privacy Policy
You must comply with Facebook Platform Terms and Policies
We access only the Facebook pages and ad accounts you explicitly authorize
You can disconnect Facebook integration at any time
We are not responsible for changes to Facebook's API or policies

5.3 Third-Party Terms

Each integration operates under its own terms of service
We are not responsible for third-party service performance or availability
Integration features may change or be discontinued based on third-party requirements
You are responsible for maintaining proper authentication and access to third-party services

5.4 Data Synchronization

Data synced from integrations is subject to accuracy of source systems
We are not liable for errors in imported data
You should review and verify imported transactions
Sync frequency depends on plan and integration capabilities

6. Customer Data and Content

6.1 Your Ownership

You retain all rights, title, and interest in your Customer Data. We do not claim ownership of your financial records, business information, or other data you provide.

6.2 License to Us

You grant us a limited license to:

Store and process your data to provide the Service
Use aggregated, anonymized data for service improvement
Create backups for disaster recovery
Access data for support and troubleshooting (with permission)

6.3 Your Responsibilities

You are responsible for:

Accuracy and legality of your data
Maintaining backup copies of critical data
Ensuring you have rights to upload content
Compliance with data protection laws
Proper categorization of transactions
Accuracy of tax calculations and filings

6.4 Data Backup and Recovery

We perform regular automated backups
Backups retained for 90 days
Data recovery available upon request
You should maintain independent backups
We are not liable for data loss beyond our reasonable control

6.5 Data Export

You can export your data at any time:

Financial reports (PDF, Excel)
Transaction history (CSV)
Customer and vendor lists
Inventory records
Custom data exports available upon request

7. Intellectual Property Rights

7.1 Our Rights

Books4u and all related trademarks, logos, and intellectual property are owned by us. The Service, including its software, design, functionality, and content, is protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Service for your business purposes
Use our documentation and training materials
Display our branding when required for integration features

7.3 Restrictions

You may not:

Copy, modify, or create derivative works of the Service
Reverse engineer or decompile the software
Remove proprietary notices or labels
Use our trademarks without written permission
Frame or mirror any part of the Service
Build competitive products using our Service

7.4 Feedback

If you provide suggestions, ideas, or feedback:

We may use them without obligation or compensation
You grant us perpetual, worldwide rights to implement feedback
You waive any claims related to implemented suggestions

8. Privacy and Data Protection

8.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

We comply with applicable data protection laws including:

Both parties agree to maintain confidentiality of:

9.2 Exceptions

Confidential information does not include information that:

Is publicly available
Was known before disclosure
Is independently developed
Is required to be disclosed by law

9.3 Duration

Confidentiality obligations survive termination of these Terms for 3 years.

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that:

The Service will perform substantially as described
We have the right to provide the Service
We will use reasonable efforts to maintain service availability
We comply with applicable laws and regulations

10.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Fitness for a particular purpose
Merchantability
Non-infringement
Accuracy or completeness of data
Uninterrupted or error-free operation
Security from viruses or harmful code

10.3 No Professional Advice

Books4u provides accounting software tools but does not provide:

Professional accounting or tax advice
Legal or financial consulting
Audit or assurance services
Tax preparation or filing services

You should consult with qualified professionals for advice specific to your situation.

10.4 Third-Party Services

We disclaim all warranties related to third-party integrations and services. Third-party availability, accuracy, and functionality are not guaranteed.

11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11.2 Excluded Damages

WE ARE NOT LIABLE FOR:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or business opportunities
Loss of data or information (beyond recovery from backups)
Business interruption
Cost of substitute services
Errors in tax calculations or filings
Third-party claims

11.3 Exceptions

Limitations do not apply to:

Our gross negligence or willful misconduct
Death or personal injury caused by our actions
Fraud or fraudulent misrepresentation
Violations of law that cannot be limited by contract
Your breach of intellectual property rights

11.4 Essential Basis

These limitations reflect the allocation of risk between the parties and are an essential basis of our agreement. The Service pricing reflects these limitations.

12. Indemnification

12.1 Your Indemnification

You agree to indemnify, defend, and hold harmless Books4u, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of applicable laws
Your Customer Data and content
Your business operations
Disputes with your customers, vendors, or employees

12.2 Our Indemnification

We will indemnify you against third-party claims that the Service infringes intellectual property rights, provided you:

Notify us promptly of the claim
Give us control of the defense
Cooperate with our defense efforts

12.3 Process

The indemnifying party will:

Assume control of defense and settlement
Keep the other party informed
Not settle without consent (not unreasonably withheld)

13. Term and Termination

13.1 Term

These Terms begin when you first use the Service and continue until terminated by either party.

13.2 Termination by You

You may terminate by:

Canceling your subscription in account settings
Contacting support@books4u.pro
Effective at end of current billing period (unless immediate closure requested)

13.3 Termination by Us

We may suspend or terminate your account if:

You breach these Terms
Payment fails and is not resolved within 10 days
We are required to do so by law
You engage in fraudulent or illegal activities
Your use poses security risks to other users

13.4 Notice Period

For material breaches: Immediate termination allowed
For payment issues: 10-day notice before suspension
For convenience: 30-day notice before termination

13.5 Effect of Termination

Upon termination:

Your access to the Service ends immediately (or at period end)
You remain responsible for charges incurred before termination
We will retain your data for 30 days for potential reactivation
After 30 days, data may be deleted (except as required by law)
You can export your data before or during the 30-day period
No refunds for early termination (except as stated in Refund Policy)

13.6 Survival

The following provisions survive termination:

Payment obligations
Intellectual property rights
Confidentiality obligations
Indemnification
Limitations of liability
Dispute resolution

14. Modifications to Terms and Service

14.1 Changes to Terms

We may modify these Terms by:

Posting updated Terms on our website
Notifying you via email (for material changes)
Updating the "Last Updated" date
Changes effective 30 days after notice (unless otherwise stated)

Continued use after changes constitutes acceptance.

14.2 Changes to Service

We may:

Add, modify, or discontinue features
Update our technology and infrastructure
Adjust usage limits or capabilities
Change supported integrations

We will provide reasonable notice for material changes affecting your use.

14.3 Objection to Changes

If you object to changes:

You may terminate your subscription before changes take effect
Continued use after effective date constitutes acceptance
Termination follows standard termination procedures

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to:

Contact support@books4u.pro describing the dispute
Engage in good-faith negotiations for 30 days
Provide documentation supporting your position

15.2 Governing Law

These Terms are governed by the laws of Lesotho, without regard to conflict of law principles.

15.3 Jurisdiction and Venue

For disputes that cannot be resolved informally:

Exclusive jurisdiction: Courts of Maseru, Lesotho
You consent to personal jurisdiction in these courts
You waive objections to venue or inconvenient forum

15.4 Arbitration (Optional)

By mutual agreement, disputes may be resolved through:

Binding arbitration under Lesotho arbitration rules
Single arbitrator selected by mutual agreement
Arbitration held in Maseru, Lesotho
Each party bears own costs unless otherwise awarded

15.5 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or representative proceeding.

15.6 Exceptions

The following are not subject to arbitration or informal resolution:

Intellectual property disputes
Injunctive relief for ongoing breaches
Small claims court matters within jurisdiction limits

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Books4u regarding the Service.

16.2 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor entity without consent.

16.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing and signed by us.

16.4 Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be modified to be enforceable while preserving intent.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

Natural disasters
War, terrorism, or civil unrest
Government actions or regulations
Internet or telecommunications failures
Third-party service outages
Pandemics or health emergencies

16.6 Independent Contractors

You and Books4u are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.

16.7 Export Compliance

You agree to comply with all applicable export and import laws when using the Service.

16.8 U.S. Government Users

If you are a U.S. government entity, the Service is a "commercial item" under FAR 2.101, provided with standard commercial license rights.

17.1 Payroll Services

If using payroll features:

You are responsible for tax compliance
We calculate amounts based on information you provide
We are not responsible for errors in your inputs
You should verify all calculations before processing
Tax filing responsibility remains yours unless separately contracted
State-specific requirements vary by jurisdiction

17.2 Bank Connections

When connecting bank accounts:

You authorize us to access transaction data
You are responsible for bank security credentials
We use secure third-party services for connections
Connection availability depends on your financial institution
You should review imported transactions for accuracy

17.3 Multi-User Access

For accounts with multiple users:

Primary account holder is responsible for all users
You control user permissions and access levels
You are liable for actions of your authorized users
You must promptly remove access for former employees
Users must not share login credentials

17.4 API Access

If using our API:

Separate API terms and rate limits apply
API keys must be kept confidential
You are responsible for your API usage
Excessive usage may result in throttling or fees
API may change with reasonable notice

17.5 White Label / Reseller (Enterprise Only)

Custom terms apply for white label or reseller arrangements, including:

Separate written agreement required
Minimum volume commitments
Branding and customization guidelines
Support obligations
Revenue sharing or licensing fees
